Terms of Service

Please read these terms of service (the "Terms") carefully before using our Service. By accessing or using any part of the site, you agree to be bound by these Terms. If you don’t agree with these Terms or any of its Clauses, you shall immediately cease to use any Nova Swap services.

Section 1

General Provisions

• These Terms constitute a legal agreement between us ("Nova Swap", "We", "Us", "Ourselves") and users, clients, visitors and others (without limitation), who access the Services (as defined below) ("User", "You", "Your").
• "Nova Swap", "We", "Us", "Ourselves" refers to the service operated under the domain nova-swap.com. We are a technology provider that facilitates cryptocurrency exchanges.
• The Nova Swap services ("Service") refers to the services provided to you by Nova Swap, which are offered through the nova-swap.com website ("Website"), widgets and mobile applications (if available).
• Nova Swap offers an exchange of cryptocurrencies ("Exchange"), based on an order ("Order") that was created by the User in the Service.
• One of the parameters of the Order is the exchange rate type: fixed ("Fixed rate") or floating ("Float rate"). Fixed rate means you receive the exact amount displayed when creating the Exchange. Float rate implies a change in the exchange rate depending on market conditions and is finally set when the User's transaction receives the required number of blockchain confirmations.
• The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.
• If the User does not read and accept the Terms of Service, the User should not use or continue using the Services.

Section 2

Using of Service

• You confirm you have full legal capacity to use the Service and you are of the age of majority or have consent of a legal representative.
• You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service without our express written permission.
• To make an Exchange, create an Order with direction, amount, rate type and receiving address, and send funds to the generated address (or address+MEMO/Destination tag).
• Only one transaction is allowed per address.
• By choosing Fixed rate, you acknowledge and agree that Nova Swap will execute the Exchange and send the exact amount shown on the Order page when created, if conditions about timing, exact sent amount (excluding network/withdrawal fees) and market movement threshold are met.
• By choosing Float rate, you acknowledge and agree that the rate is approximate and changes over time; fees may be included; rate is finally set after required confirmations.
• Orders may expire automatically if funds do not arrive within the specified timeframes; options to continue at current rate or refund may be offered.
• Sending transactions after 24 hours from Order creation is a violation of the Exchange rules.
• Minimum/maximum allowable amounts are shown on the main page. Sending below minimum is prohibited; if above maximum, automatic partial refund may be offered.
• When creating an Order, the User is fully responsible for correctness of the direction, receiving address, rate type and amount, and for understanding currencies and networks specifics. Nova Swap is not responsible for payments sent to incorrect details.
• Automatic refund to service addresses (including addresses of other Orders) is prohibited.
• You must send funds in a single transaction in the same currency and blockchain as selected in the Order.
• Sending funds in a different currency and/or blockchain network than specified in the Order is a violation of the Exchange rules.
• Orders are executed automatically; support requests to suspend or change Order data or refund may be refused at our discretion.
• Suspending an Order to change receiving address or refund is possible only if an email was specified on the Order or from a registered account; requests processed via that email.
• Creating an Order that specifies another Order's service address is a violation.
• Sending funds in more than one transaction per Order is a violation.
• Sending transactions via third-party smart contracts is prohibited unless explicitly allowed on the Order page.
• Creating/paying a new Order in the same direction before the previous one is completed is prohibited.
• Email usage: specify a correct, owned email; invalid emails may result in suspension/deletion; repeated misuse may lead to sanctions.

Section 3

Prices and Exchange Rates

• Prices for our services are subject to change without notice.
• We are not liable for modifications, price changes, suspension or discontinuance of the Service.
• Service, network and consolidation fees may be included in the final rate displayed when creating an Exchange.
• Required confirmations vary per cryptocurrency and may change at our discretion without notice.

Section 4

Processing Orders in Violation of the Exchange rules

Violation of the Exchange rules makes it impossible to automatically process and fulfill the Order. For each case the User must contact support on the Website and register a request for manual processing by technical specialists.

• Sending funds after 24 hours: transaction will be attached after request registration; you may continue at market rate or request refund.
• Two or more transactions: only the first is exchanged; others can be exchanged at current rate or refunded minus network fee after request.
• Double exchange attempts: if service address used, must provide your address; refunds minus miner/consolidation fees.
• Third-party smart contracts: not processed automatically; attach after request within set timeframe.
• Wrong network/currency cases: handling depends on supportability; thresholds and fees may apply; we may refuse refunds.
• Missing MEMO/Destination tag/Comment: may lead to irretrievable loss; proofs may be required; recovery fees/percentages may apply.

Section 5

Prohibited Jurisdictions

• Nova Swap reserves the right to restrict or deny services in certain countries.
• Use is prohibited to US persons and those in UN-sanctioned countries; any use from prohibited locations is strictly forbidden.
• Use is prohibited where cryptocurrency or the Service is forbidden by law.
• We may use methods to prevent use from prohibited jurisdictions; you must comply even if such methods can be bypassed.

Section 6

Prohibited Uses

• Unlawful purposes; solicitation of unlawful acts; violations of laws/regulations; IP infringements; harassment or discrimination; false/misleading info; malware; data scraping/spam; obscene/immoral purposes; security circumvention.
• It is forbidden to use the Service for laundering criminal funds; we may freeze funds pending source verification as described in AML section.
• Funds linked to sanctioned addresses/contracts are prohibited; we may freeze such funds; we follow UN/EU/US regimes.
• Funds linked to centralized services facilitating laundering/AML violations/sanctions evasion are prohibited; we may freeze such funds.
• Crypto arbitrage (arbitrage activity between exchanges, networks or rates) is not supported on Nova Swap and is considered a violation of these Terms. We actively combat such practices (including coordinated or linked orders, circular transfers, and artificial volume/liquidity formation). Upon detection or reasonable suspicion of arbitrage activity, Nova Swap may immediately restrict access, block the account and/or funds pending review; request verification of the user's identity and residential address, as well as documentation of the source of funds; and assess whether such activity violates the laws of the user's jurisdiction. Failure to comply with requests, provision of false data, or confirmation of violations may result in refusal of service, return of assets subject to compliance review, or other measures permitted by these Terms and applicable law. Section 7

AML Procedure

To make an Exchange, registration is not required. However, if funds clearly related to criminal activity are sent, the Order may be suspended until origin details are provided. Communication is performed via email specified on the Order page.

• We may determine links to criminal activity from partners, public sources, victim complaints, and law enforcement.
• We may not disclose the source of information.
• By accepting these Terms you agree to transaction verification by our security systems and to provide full details of source of funds upon request.
• If you refuse or provide false data, or data confirms criminal links, funds may be frozen for return to victims with law enforcement assistance.
• In complex cases, identity verification may be requested; refunds go only to the sending address after verification.
• We may restrict access and suspend new orders during investigations related to violations or suspected illegal activities.

Section 8

Personal Data

• By accepting these Terms, you expressly allow Nova Swap to process your personal data, including export outside your jurisdiction, as outlined in our Privacy Policy.
• We may transfer certain data to partners or authorities to prevent/disclose prohibited or illegal actions, as permitted by law.
• Certain personal information is protected according to the Privacy Policy.

Section 9

Accuracy, Completeness and Timeliness of Information

• Information on the Website may not be accurate, complete or current and is for general information only; reliance is at your own risk.
• The Website may contain historical information; we may modify contents anytime without obligation to update; you must monitor changes.

Section 10

User Comments, Feedback and Other Submissions

If you submit ideas/suggestions, we may use them without restriction in any media.

Section 11

Disclaimer Of Warranties

• We do not guarantee uninterrupted, timely, secure or error-free services; services may be removed or canceled without notice.
• In no case shall we be liable for lost profits, revenue, savings, data or similar damages.
• Services are provided 'as is' without warranties; you assume all responsibility and risk to the maximum extent permitted by law.
• We do not guarantee continuous access; the Website may be affected by factors outside our control.

Section 12

Limitation Of Liability

• Limitations apply to the extent permitted by law; you are responsible for complying with your local legislation and taxes.
• We are not liable for hacking, tampering, viruses, downtime, or technical faults beyond our control.
• You agree to indemnify us against claims arising from breaches, misuse, third-party access, or violations of these Terms.
• No liability for force majeure events beyond our absolute and direct control.
• Nova Swap is not responsible for phishing sites and chatbots using the name and/or design of the Service.

Section 13

Entire Agreement

• Failure to exercise or enforce any right is not a waiver.
• These Terms and posted policies constitute the entire agreement, superseding prior versions.
• Ambiguities shall not be construed against the drafting party.

Section 14

Tax

• Digital asset taxation varies by jurisdiction; you may have tax implications.
• Nova Swap is not responsible for determining, collecting, reporting or remitting taxes arising from transactions.
• We are not responsible for notifying Users to file reports or pay taxes; you are solely responsible for compliance.
• The User is responsible for compliance with the laws of their country.

Changes to Terms of Service

• You can review the most current version of the Terms at any time on this page.
• We may update/change/replace parts of the Terms by posting updates; you must check periodically; continued use constitutes acceptance.

Section 16

Risk

• You acknowledge risks associated with digital currencies and derivatives; use is at your own risk.
• Nova Swap is not responsible for such risks or adverse results.

Section 17

Intellectual Property Rights

• We exclusively own rights in our names, logos, designs, documentation and other intellectual property embodied by or on the Website and related pages.
• You shall never use our logos, marks or other IP for commercial/public use without explicit permission, unless explicitly indicated.
• You shall not copy, reproduce, distribute, modify, create derivatives, publicly display/perform, republish, download, store, transmit or otherwise use our IP.
• You shall not make public statements or press releases related to us or our services without express permission.
• Under these Terms you may use any logos or marks for your personal, non-commercial purposes exclusively.

Section 18

Restricted Activities

• You shall not breach these Terms, violate laws, infringe IP, act in a defamatory/harassing way, provide false info, or engage in fraudulent or suspicious activity.

Section 19

Disputes Resolution

• Disputes shall be resolved by negotiations.
• Email correspondence with authorized persons at info@nova-swap.com shall be an effective and binding method of communication.
• If unresolved within 30 days, the dispute shall be referred to the relevant court.
• Claims must be brought within one (1) year from the date they arose; otherwise waived to the extent allowed by law.
